6. Listings and Information Obligations (Pass-Through Information; Certificates)
6.1 Resale / pass-through role of Supplier. Unless expressly stated otherwise, suppliers act as resellers or distributors of products (including so-called "Zur-Platzware") and are in most cases not the original manufacturer or initial supplier of the products.
6.2 Pass-through product information. Product information, specifications, safety data sheets ("SDS"), classifications, labels and similar documentation are provided by suppliers on a pass-through basis as received from the original manufacturer or upstream supplier. Such documents may be submitted to InCycling for onward disclosure to buyers, including in anonymised or redacted form. (c) PIC / exports outside the EU. Where products are exported from the European Union, Supplier warrants compliance with the PIC Regulation (Regulation (EU) No 649/2012) and all applicable notification, consent and information obligations, and warrants that it acts as exporter of record where required.
(d) Product (no waste). Supplier warrants that all products offered or traded via the Broker Service are lawfully placed on the market as products and not as waste within the meaning of applicable waste legislation, and that no shipment constitutes a shipment of waste.
(e) No assumption by InCycling. Nothing in these Terms shall be construed as InCycling assuming any manufacturer, importer or distributor obligations. InCycling does not verify regulatory status or compliance.
6.6 Buyer due diligence and no reliance. Buyers are solely responsible for assessing the suitability of the products for their intended use, for fulfilling any downstream user obligations and for conducting their own regulatory, technical and commercial due diligence. Buyers shall not rely on InCycling or on suppliers for the correctness or completeness of pass-through information or CoAs.
6.7 No verification by InCycling; future carve-out. Except where InCycling expressly agrees in writing to provide specific verification, review or assessment services under a separate agreement, InCycling does not verify, validate or assess product information, SDS, CoAs, regulatory status or compliance and does not provide regulatory, technical or legal advice. Any such expressly agreed services shall be subject exclusively to the scope, limitations and liability provisions set out in the respective separate agreement.

7.3 Antitrust. Users shall not use the Broker Service to exchange competitively sensitive information (including future prices, cost data, margins, capacity, customers or market allocation). InCycling may remove content or suspend access to prevent or address antitrust risks.
7.4 No exclusivity; interim sale or other prior use by Supplier. The availability of any product identified or discussed via the Broker Service is non-binding. The Supplier may, at any time and at its sole discretion, sell, allocate, reserve, use or otherwise dispose of such product to or for third parties Confidential or for its own purposes prior to the conclusion of a binding Sales Contract. Any such interim sale, allocation or other prior use shall not give rise to any claim, right or entitlement of a prospective buyer against the Supplier or against InCycling.
8. Compliance; Export Controls and Sanctions
8.1 General compliance. Users shall comply with all applicable laws, including trade, customs, exportcontrol and sanctions regulations.
8.2 Sanctions and dual-use. Users represent that neither they nor their counterparties are subject to applicable sanctions and that products are not intended for prohibited end-uses or end-users. InCycling may suspend or terminate the Broker Service where required to comply with applicable law.

(a) Order Value (basis of calculation). "Order Value" means the net price actually paid by the buyer to the Supplier under the Sales Contract excluding VAT and other sales taxes, and excluding separately itemised freight, insurance and customs/duties, unless expressly included in the agreed pricing. Subsequent rebates/credit notes reduce the Order Value accordingly. For non-EUR payments, amounts are converted at the ECB reference rate on the date of the buyer's payment to the Supplier. Confidential
(b) Trigger and due date. The Broker Fee is earned upon conclusion of the Sales Contract and becomes due upon the earlier of (i) the buyer's first payment to the Supplier under that Sales Contract or (ii) the first delivery. Invoices are issued accordingly.
(c) Adjustments. In case of partial fills, cancellations, returns or write-offs, the Broker Fee adjusts pro rata to the Order Value actually paid; corrections are settled by credit/debit note.
(d) Alternative structures. InCycling and Supplier may agree alternative value-based models (e.g., tiered rates, minimum fees, fixed or success fees) in writing.
10.2 Invoicing and payment. Invoices are due 15 days from invoice date. Upon default, statutory default interest applies pursuant to § 288(2) BGB (currently 9 percentage points above the base rate for B2B claims); any further statutory rights (including the €40 collection flat under § 288(5) BGB) remain unaffected.
10.3 Records and audit (limited to fee verification).
(a) The Supplier shall keep complete and accurate records reasonably necessary to verify Broker Fees (Sales Contracts with Introduced Counterparties, invoices, payments received, credit notes, returns, cancellations) for 36 months from the date of the transaction.
(b) Audit right. No more than once in any 12-month period, upon 10 business days' prior written notice, during normal business hours, InCycling may audit such records solely to verify Broker Fees. The audit may be performed by an independent auditor bound by confidentiality; the auditor shall disclose to InCycling only what is strictly necessary to evidence the correct fee.
(c) Costs. Audit costs are borne by InCycling unless an underpayment > 5 % for the audited period is found, in which case the Supplier shall promptly pay (i) the underpaid fees plus interest per § 288 BGB and (ii) reasonable audit costs.
(d) Look-back. The audit look-back is limited to the preceding 36 months.

In particular, InCycling does not warrant any quality, merchantability, fitness for a particular purpose, conformity with specifications, suitability for intended use, freedom from defects, or compliance with regulatory, environmental, health or safety requirements. Any warranties relating to products may arise solely, if at all, under the applicable Sales Contract between buyer and supplier.
13.2 Pass-through information; no reliance. All product information, specifications, SDS, CoAs, test reports, classifications, labels and similar documentation made available via the Broker Service are provided on a pass-through basis by suppliers or upstream parties. InCycling does not warrant the accuracy, completeness or timeliness of such information. Confidential Users acknowledge that they do not rely on InCycling for the correctness or completeness of any such information. Rights and remedies vis-à-vis Suppliers, if any, arise solely under the applicable Sales Contract and mandatory law.

Users remain solely responsible for assessing regulatory compliance, suitability and risks associated with the products and transactions.

Amounts paid for one claim reduce the remaining cap. Per-event liability shall not exceed 50% of the Broker Fee that would have been payable for the affected transaction(s).
15.4 Excluded heads of loss. In no event is InCycling liable for loss of profit, production, business, goodwill or other indirect/consequential loss, except where such loss is the typical and foreseeable result of a slightly negligent breach of an essential duty under 15.2(b).
15.5 Beneficiaries. The above limitations apply to all claims and remedies, regardless of legal theory, and inure to the benefit of InCycling's affiliates, directors, officers, employees and agents.
